一、在上海设立常驻代表机构所需基本条件：
The essentialconditions for a foreign enterprise to apply for the establishmentof a resident representative office in Shanghai are asfollows:
1、该外国企业必须在所在国合法注册；
The foreignenterprise has to be legally registered in its country;
2、该外国企业必须具有良好的商业信誉；
The foreignenterprise must be of good commercial reputation;
3、该外国企业必须提供真实可靠的本实施细则规定的各类材料；
Theforeign enterprise must provide the authentic and reliablematerials and documents according by this notification.
二、在上海设立常驻代表机构所需时间和要求：
The time andre for a foreign enterprise applying for theestablishment of a resident representative office in Shanghai areas follows:
1、外国企业申请在中华人民共和国境内设立常驻代表机构，须先向上海市工商局提出网上申请，工商局对其申请进行审查，在5个工作日内做出批准或不予批准的决定，并在网上公布结果。得到批准的企业，再向工商局提出书面申请，工商局于10个工作日后颁发代表机构登记证。其他政府机构办理各种证照约需要25个工作日。
When anenterprise wants to establish a representative office in Shanghai,it should apply to Shanghai Administration of Industry and Commerceon its website for prejudication first. It will approve or overrulethe application in 5 working days. The approved enterprise shouldapply to the Administration formally. 10 working days later, theAdministration will give Business Registry to the company. Andprocessing other registries by other administrations will spendabout 25 working days.
2、外国企业申请设立常驻代表机构必须委托一家经中华人民共和国政府主管部门批准的、具有相关资质的公司作为承办单位，由承办单位代外国企业向审批机关报送各类材料，办理申报手续。
If a foreignenterprise wants to apply for a representative office in China, ithas to entrust an agency which is approved by the competentauthorities of government for submitting all documents togovernment.
三、在上海设立常驻代表机构所需材料
The documentsfor establishing a representative office in Shanghai:
1、 申请书 (由公司董事长或总经理签名)
ApplicationLetter (signed by chairman of the foreign enterprise)
申请书内容如下:

1)常驻代表机构的名称/ the name of representativeoffice;
2)首席代表机构人员名单（首席代表、代表）/ list of chief representative andrepresentatives;
3)企业简况,设立常驻代表机构的目的.业务范围/brief introduction of the foreign enterprise, purpose ofestablishing this representative office, business scope of thisrepresentative office,
4)办公地址/office address
5)驻在期限/residence period
2、代表任命书 (由公司董事长或执行董事签名)
Application ofchief representative and representatives (signed by chairman of theforeign enterprise);
如董事长任首席代表或代表，其授权书必须由该企业董事会两名以上董事签署
If chairman isalso the representative of the office, the application has to besigned by more than two directors
3、代表的简历
Resumes ofrepresentatives；
4、代表护照或身份证复印件
The passportor ID card (copy) of the chief representative andrepresentatives;
5、由该企业所在国的有关当局出具的开业合法证书（副本）注明有效期
Businesslicense copy;
6、将此证书在当地的中国大使馆/领事馆公证。
Notarizingthis certification at the China Embassy /Consulate inlocal;
7、由同该企业有往来的银行出具的资信证明书（正本）注明信用评价及有效期
Creditcertification (original) issued by a foreign bank which hasbusiness relations with the enterprise;
8、办公楼租赁合同（原件）
Contract forlease of house (original);
9、房屋出租方提供的材料
Documentsprovided by lessor

2)外经委批准涉外办公的文件(复印件)
